MAHANTONGO VALLEY EMERGENCY SERVICES BOARD

 

CONSTITUTION

 

 

ARTICLE I                  Name, Objective, Jurisdiction

 

SECTION A.

                       

                        NAME:            Mahantongo Valley Emergency Services Board

                        ADDRESS:   P.O. Box 127

                                                Pillow, PA  17080-0127

 

            SECTION B.

 

OBJECTIVE:  The objective of the Board shall be to coordinate the delivery of services of the Mahantongo Valley Emergency Service Organizations by providing continued community support, training and protection prior to, during and after an emergency.

 

            SECTION C.

 

JURISDICTION:  The Board shall accept members from the following municipalities and organizations from within the Mahantongo Valley Emergency Grid Association coverage area:  Herndon Borough, Jackson Township, Jordan Township, Lower Mahanoy Township, Little Mahanoy Township, Pillow Borough, Upper Mahanoy Township, Washington Township, Dalmatia Area Ambulance, Herndon Fire Company, Hickory Corners Fire Company, Klingerstown Fire Company, Lower Mahanoy Fire Company, Pillow Fire Company, Lower Mahanoy Township Police, Upper Mahantongo Township, Eldred Township, Mahantongo Fire Company and the Citizens-at-Large Organization.

 

 

ARTICLE II                 Officers and Organization

 

            SECTION A.

 

OFFICERS:  The organization shall have an Executive Board consisting of the following officers: Chairperson, Vice Chairperson, Secretary, Treasurer and (2) Directors for a total of 6 representatives, which will be nominated one (1) from each Discipline.

 

           

 

 

SECTION B.

 

ORGANIZATION:  The organization shall consist of two (2) members from each of the following municipalities and organizations:  Herndon Borough, Jackson Township, Jordan Township, Lower Mahanoy Township, Little Mahanoy Township, Pillow Borough, Upper Mahanoy Township, Washington Township, Dalmatia Area Ambulance, Herndon Fire Company, Hickory Corners Fire Company, Klingerstown Fire Company, Lower Mahanoy Fire Company, Pillow Fire Company, Lower Mahanoy Township Police, Upper Mahantongo Township, Eldred Township, Mahantongo Fire Company and the Citizens-at-Large Organization.

 

 

ARTICLE III                Committees

 

            SECTION A.

 

STANDING COMMITTEES:  The Chairperson shall appoint Standing Committees at the January meeting of the Executive Board.

 

            SECTION B.

 

SPECIAL COMMITTEES:  The Chairperson shall appoint Special Committees as deemed necessary.

 

 

ARTICLE IV               Meetings

 

            SECTION A.

 

REGULAR MEETINGS:  The Executive Board meetings shall be held on the second Wednesday of each month of the year.  The organization shall meet quarterly (1/4) prior to the Executive Board meeting.

 

            SECTION B.

 

SPECIAL MEETINGS:  The Chairperson may call for a special meeting as the situation arises or upon written request of 66% of the Executive Board.

 

            SECTION C.

 

The time and location of the meetings shall be determined by the bylaws for regular meetings and the Chairperson for special meetings.

 

 

           

SECTION D.

           

                        The fiscal year of the Board shall be calendar year.

 

 

ARTICLE V                Dues and Fees

 

            SECTION A.

 

Each municipality listed in Article I, Section C will be requested to pay annual dues as needed as prescribed in the bylaws.

 

            SECTION B.

 

                        Special fees may be assessed as prescribed in the bylaws.

 

 

ARTICLE VI               Restricted Provisions

 

            SECTION A.

 

No part of the earnings of the Board shall inure to the benefit of, or be distributed to its members, trustees, directors, officers or other private persons, except that the Board shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of Section 501 (c) (3) of the Internal Revenue Code purposes.  No substantial part of the activities of the Board shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the Association shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of, or in opposition to, any candidate for public office.  Notwithstanding any other provision of these articles, the Board shall not carry on any other activities not permitted to be carried on (a) by a association exempt from Federal income tax under Section 501 (c) (3) of the Internal Revenue Code (or corresponding section of any future Federal tax code) or (b) by an association, contributions to which are deductible under Section 170 (c) (2) of the Internal Revenue Code (or corresponding section of any future Federal tax code).

 

            SECTION B.

 

Non-profit organizations shall be known as Mahantongo Valley Emergency Services Board.

 

 

ARTICLE VII              Amendments

 

            SECTION A.

 

                        This constitution may be amended by procedures described in the bylaws.
